1 Acceptance of Terms
By registering for, accessing, or using Embroidery Solution (the “Service” or “Software”), owned and operated by Yashini Enterprise (“Company”, “we”, “us”), you agree to be legally bound by these Terms of Service. If you do not agree to these terms, do not access or use the Software.
2 Services & Subscription Tiers
Embroidery Solution provides cloud-based manufacturing execution (MES) and enterprise management (BMS) tools for the textile and embroidery industry:
- Lifetime Free Micro Tier: Designed for micro-units running 1 to 2 machines in Surat and across India. Includes up to 150 Delivery Challans per Financial Year (April to March) and wage calculation for up to 6 operators at zero charge without requiring payment card information.
- Growth & Enterprise Tiers: Unlimited challans, multi-user accounts, machine fleet tracking, raw yarn stock management, and financial yearly registers subject to active plan subscription.
3 Tax, GST & Accounting Compliance
While the Software facilitates delivery challans, design costing, and registers compliant with HSN 5810 (Embroidery in the piece, in strips or in motifs), the factory owner or authorized representative remains solely responsible for the legal accuracy of GST rates, E-Way Bill numbers, party ledger balances, and official returns filed with tax authorities.
4 Ownership of Factory Data & Software IP
Your Data: You retain 100% full legal ownership of all production logs, karigar attendance, design specifications, customer records, and financial entries created within your account. You may export your registers at any time.
Software IP: All source code, user interfaces, branding, software architecture, algorithms, and documentation are the exclusive intellectual property of Yashini Enterprise.
5 Governing Law & Dispute Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, claim, or proceeding arising under or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts in Surat, Gujarat, India.
